These Terms of Service (“Terms”) govern your access to and use of Bookazoid (“Bookazoid,” “we,” “us,” or “our”), including our website, early access program, beta application, web application, related services, documentation, communications, and any other products or services that link to these Terms.

By accessing or using Bookazoid, creating an account, submitting an early access request, accepting an invitation, or using the Service on behalf of a company or organization, you agree to these Terms.

If you do not agree to these Terms, do not access or use Bookazoid.

2. Definitions

For clarity, the following terms have the meanings below.

“Bookazoid”, “we”, “us”, or “our” means Metalprotekt LLC.

“Service” means the Bookazoid website, early access program, beta application, web application, software, documentation, support, and related services.

“Customer” means the company, property operator, hotel, short-term rental operator, serviced apartment operator, property manager, or other organization that creates or uses a Bookazoid workspace.

“User” means an individual who accesses or uses the Service, including Customer administrators, staff members, invited team members, and beta users.

“you” means the individual using the Service and, where applicable, the Customer or organization on whose behalf the individual is using the Service.

“Customer Data” means data, content, records, files, configurations, templates, documents, booking information, guest information, property information, operational notes, invoices, taxes, policies, and other materials submitted to, stored in, generated through, or processed by the Service on behalf of a Customer.

“Guest Data” means personal information or records about guests, occupants, travelers, visitors, payers, or other individuals whose information is entered into Bookazoid by or on behalf of a Customer.

“Beta Service” means any feature, product, module, service, integration, or functionality made available as alpha, beta, preview, pilot, early access, experimental, evaluation, or pre-release.

“Order Form” means an online checkout, signed order, invoice, plan confirmation, email confirmation, or other written document confirming a subscription, beta arrangement, pricing, discount, or other commercial terms.

3. Business use only

Bookazoid is intended for business and professional use.

You may use Bookazoid only if you are:

  • at least 18 years old;
  • legally able to enter into these Terms;
  • using the Service for business or professional purposes;
  • authorized to bind the company or organization you represent, if you use the Service on behalf of one.

Bookazoid is not intended for personal, household, or consumer use.

If you use Bookazoid on behalf of a company or organization, you represent that you have authority to accept these Terms on behalf of that company or organization.

4. The Service

Bookazoid is a property management system designed to help accommodation operators manage workflows such as:

  • properties, room types, and units;
  • availability and booking timelines;
  • bookings and orders;
  • guest profiles and occupancy information;
  • invoices and document templates;
  • taxes, fees, pricing policies, and cancellation policies;
  • housekeeping and operational tasks;
  • roles and permissions;
  • calendar feeds, imports, exports, webhooks, and integrations;
  • reports, audit logs, and related property management operations.

The exact features available to you may depend on your plan, beta access, configuration, region, workspace settings, or Order Form.

We may add, modify, suspend, or remove features from time to time.

5. Early access and beta terms

Bookazoid may offer early access, beta, pilot, preview, or experimental features.

You understand and agree that Beta Services:

  • are still under development;
  • may contain bugs, errors, inaccuracies, or incomplete functionality;
  • may change substantially before general release;
  • may be unavailable, interrupted, modified, or discontinued at any time;
  • may not be covered by the same support, uptime, security, or compatibility commitments as generally available services;
  • may result in data loss, configuration changes, calculation errors, or workflow interruptions;
  • are provided for evaluation, feedback, and early operational use at your own risk.

You should not rely on Beta Services as your sole system of record unless you have independently determined that they are suitable for your business and have appropriate backups, exports, internal checks, and fallback procedures.

We may collect feedback about Beta Services. You grant us a perpetual, worldwide, royalty-free right to use feedback, suggestions, ideas, bug reports, and improvement requests without restriction or compensation, provided we do not publicly identify you as the source without permission.

6. Account registration and security

To use parts of the Service, you may need to create an account.

You agree to:

  • provide accurate and complete account information;
  • keep account information up to date;
  • keep login credentials confidential;
  • use strong passwords;
  • notify us promptly of unauthorized access or suspected security issues;
  • ensure that all Users in your workspace comply with these Terms.

You are responsible for all activity under your account and workspace, including actions by administrators, staff members, invited users, contractors, and anyone who accesses the Service using your credentials or permissions.

We are not responsible for losses caused by unauthorized access resulting from your failure to protect credentials, devices, or internal access controls.

7. Customer administrators and users

Customers may designate administrators and invite Users to a workspace.

Administrators may be able to:

  • add, remove, or manage Users;
  • assign roles and permissions;
  • access Customer Data;
  • configure properties, policies, taxes, invoices, templates, and integrations;
  • view logs and operational records;
  • make changes that affect bookings, invoices, availability, and other workflows.

Customers are responsible for managing their Users, permissions, internal policies, and access controls.

We may rely on instructions from workspace administrators and authorized Users.

8. Customer responsibilities

You are responsible for:

  • your use of Bookazoid;
  • your Users’ use of Bookazoid;
  • the accuracy, quality, legality, and completeness of Customer Data;
  • obtaining all rights, permissions, notices, and consents required to enter and process Customer Data;
  • ensuring that your use of Bookazoid complies with applicable laws, regulations, contracts, platform rules, and property obligations;
  • reviewing bookings, availability, invoices, taxes, fees, policies, reports, and outputs generated through the Service;
  • maintaining appropriate backups, exports, records, and fallback procedures;
  • configuring taxes, fees, policies, availability, room types, prices, and guest rules correctly;
  • verifying any calculations, documents, or operational decisions before relying on them.

Bookazoid provides software tools. You remain responsible for your business operations and decisions.

9. Taxes, invoices, pricing, and legal compliance

Bookazoid may include tools for configuring and calculating taxes, fees, invoices, pricing policies, cancellation policies, guest surcharges, currency rates, and related financial or operational settings.

These tools are provided for operational convenience only.

Bookazoid does not provide legal, tax, accounting, financial, regulatory, or compliance advice.

You are solely responsible for:

  • determining which taxes, fees, policies, rates, exemptions, and rules apply to your properties and bookings;
  • configuring tax and pricing settings correctly;
  • reviewing calculations before issuing invoices, statements, or reports;
  • complying with local, state, federal, national, and international tax laws;
  • consulting qualified legal, tax, accounting, or compliance professionals where needed;
  • ensuring that invoices, receipts, reports, and guest-facing documents meet applicable requirements.

We do not guarantee that tax calculations, invoices, templates, reports, currency conversions, or policy logic will satisfy the laws or requirements of any jurisdiction.

10. Availability, bookings, and operational decisions

Bookazoid may help manage availability, booking timelines, occupancy, room types, units, calendars, and operational workflows.

You are responsible for verifying booking availability, guest details, rates, restrictions, invoices, taxes, and operational changes before confirming or acting on them.

Bookazoid is not responsible for:

  • overbookings;
  • missed bookings;
  • incorrect rates;
  • incorrect taxes or fees;
  • guest disputes;
  • property assignment errors;
  • operational delays;
  • third-party calendar sync issues;
  • incorrect imports or exports;
  • decisions made based on outdated, incomplete, or incorrectly configured data.

You should maintain reasonable internal review processes and backup procedures, especially during beta use.

11. Integrations, imports, exports, calendar feeds, and webhooks

Bookazoid may support integrations, imports, exports, calendar feeds, webhooks, APIs, document templates, or connections with third-party services.

You are responsible for:

  • configuring integrations correctly;
  • verifying imported and exported data;
  • securing webhook URLs, API keys, feed URLs, tokens, and credentials;
  • complying with third-party terms and platform rules;
  • ensuring that third-party systems are authorized to receive Customer Data;
  • monitoring integration behavior and errors.

We are not responsible for third-party services, third-party outages, third-party data handling, or changes made by third-party providers.

We may modify, suspend, or discontinue integrations at any time.

12. Acceptable use

You agree not to misuse the Service.

You must not:

  • use the Service for illegal, harmful, fraudulent, deceptive, abusive, or unauthorized purposes;
  • violate applicable laws or regulations;
  • infringe intellectual property, privacy, publicity, or other rights;
  • upload malware, harmful code, or destructive content;
  • attempt to gain unauthorized access to systems, data, accounts, or networks;
  • bypass security, authentication, rate limits, or access controls;
  • interfere with the operation, integrity, or performance of the Service;
  • scrape, crawl, copy, or extract data from the Service except as expressly permitted;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, except where prohibited from restriction by law;
  • use the Service to build a competing product or service;
  • resell, sublicense, rent, lease, or commercially exploit the Service unless expressly authorized;
  • submit false, misleading, or unlawful information;
  • use the Service to send spam or unauthorized communications;
  • enter sensitive personal information unless you have a lawful basis and legitimate operational need;
  • use the Service in a way that could harm Bookazoid, our customers, guests, users, systems, or reputation.

We may suspend or terminate access if we believe you violated this section.

13. Customer Data

As between you and Bookazoid, you retain ownership of Customer Data.

You grant Bookazoid a worldwide, non-exclusive, limited license to host, store, copy, transmit, process, display, and use Customer Data only as needed to:

  • provide the Service;
  • maintain, secure, and improve the Service;
  • provide support;
  • troubleshoot issues;
  • comply with law;
  • prevent fraud, abuse, or security incidents;
  • fulfill our obligations under these Terms and applicable agreements.

We do not claim ownership of Customer Data.

You represent and warrant that you have all rights, permissions, notices, consents, and legal bases needed for Bookazoid to process Customer Data as described in these Terms and our Privacy Policy.

14. Guest Data and personal information

Customers may enter Guest Data into Bookazoid.

Customers are responsible for:

  • providing required privacy notices to guests;
  • obtaining consents where required;
  • ensuring that Guest Data is collected and used lawfully;
  • responding to guest privacy requests where applicable;
  • ensuring that Guest Data entered into Bookazoid is necessary and appropriate;
  • complying with applicable privacy and data protection laws.

Bookazoid will process personal information as described in our Privacy Policy and, where applicable, any Data Processing Addendum.

15. Aggregated and de-identified data

We may create and use aggregated, anonymized, or de-identified data derived from use of the Service.

We may use this data to:

  • operate and improve Bookazoid;
  • analyze product performance;
  • understand usage trends;
  • improve reliability and security;
  • develop new features;
  • create benchmarks, statistics, or insights.

We will not use aggregated or de-identified data to identify you, your Users, your guests, or any specific individual.

16. Confidentiality

During use of the Service, either party may receive confidential information from the other party.

Confidential information includes non-public business, technical, financial, product, operational, customer, or security information that a reasonable person would understand to be confidential.

Each party agrees to:

  • protect the other party’s confidential information using reasonable care;
  • use confidential information only for purposes related to these Terms;
  • not disclose confidential information except to employees, contractors, advisors, or service providers who need to know it and are subject to confidentiality obligations;
  • comply with applicable law.

Confidential information does not include information that:

  • is publicly available without breach of these Terms;
  • was already known lawfully;
  • is received from a third party without confidentiality restriction;
  • is independently developed without use of confidential information;
  • must be disclosed by law, provided the receiving party gives notice where legally permitted.

17. Intellectual property

Bookazoid and its licensors own all rights, title, and interest in and to the Service, including software, design, interfaces, workflows, databases, documentation, trademarks, logos, and other intellectual property.

These Terms do not transfer ownership of Bookazoid intellectual property to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on the Service except as expressly permitted by us or applicable law.

18. Feedback

If you provide feedback, suggestions, comments, ideas, feature requests, or bug reports, you grant Bookazoid a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without restriction or compensation.

We may use feedback to improve, modify, market, or develop Bookazoid.

19. Plans, trials, beta access, pricing, and payment

Some parts of Bookazoid may be offered for free, during beta, as a trial, or under a paid subscription.

Commercial terms may be stated in an Order Form, invoice, pricing page, written confirmation, or separate agreement.

Unless otherwise stated:

  • fees are due according to the applicable Order Form or invoice;
  • fees are non-refundable except as required by law or expressly stated;
  • prices do not include taxes, duties, levies, or similar governmental charges;
  • you are responsible for applicable taxes, except taxes based on our income;
  • we may suspend access for overdue amounts after notice;
  • we may change pricing for future subscription periods with reasonable notice.

If no paid plan has started, your beta access may be free, limited, experimental, and revocable.

20. Founding customer discounts and early adopter offers

Bookazoid may offer founding customer discounts, early adopter pricing, beta rewards, lifetime discounts, or other promotional terms.

Such offers apply only if confirmed by us in writing, such as by email, Order Form, invoice, or account confirmation.

Unless expressly stated otherwise:

  • discounts apply only to the Customer account originally approved;
  • discounts are not transferable;
  • discounts may be subject to continued active use, timely payment, and compliance with these Terms;
  • discounts may not apply to future add-ons, premium services, custom development, third-party costs, implementation services, support packages, taxes, or enterprise plans;
  • “lifetime” means the lifetime of the applicable Bookazoid paid plan or product offering, not the lifetime of any person, company, legal entity, feature, or discontinued service;
  • if the relevant plan, feature, or product is discontinued, materially changed, or replaced, we may provide a reasonably comparable alternative or end the discount.

Any specific founding customer discount should be documented separately.

21. Automatic renewal and cancellation

If you purchase a paid subscription, your subscription may renew automatically unless canceled before the renewal date, as stated in the applicable Order Form, checkout flow, invoice, or plan terms.

We will provide information about:

  • the subscription plan;
  • price;
  • billing frequency;
  • renewal terms;
  • cancellation method;
  • any trial-to-paid conversion, if applicable.

You may cancel a subscription by:

  • using account billing settings, where available;
  • contacting us at mail@bookazoid.com;
  • following the cancellation method stated in your Order Form or invoice.

Cancellation takes effect at the end of the current billing period unless otherwise stated or required by law.

We may provide easier cancellation tools over time. If applicable law requires a specific cancellation method, we will follow that requirement.

You are responsible for canceling before renewal if you do not want the subscription to continue.

22. Taxes and billing information

You agree to provide accurate billing, tax, and account information.

You are responsible for any taxes, duties, levies, or similar charges associated with your purchase, except taxes based on our income.

If withholding tax or similar deductions apply, you are responsible for increasing the payment amount so that we receive the full amount due, unless prohibited by law or otherwise agreed in writing.

23. Support

We may provide support by email, in-app communication, documentation, or other channels.

Support availability, response times, and scope may depend on your plan, beta status, region, and separate agreement.

Unless expressly agreed in writing, we do not guarantee any specific support response time or resolution time.

24. Service availability and changes

We aim to keep Bookazoid reliable, but we do not guarantee uninterrupted or error-free operation.

The Service may be unavailable because of:

  • maintenance;
  • updates;
  • outages;
  • infrastructure failures;
  • third-party provider issues;
  • security incidents;
  • bugs;
  • beta changes;
  • force majeure events;
  • circumstances beyond our reasonable control.

We may modify, suspend, limit, or discontinue any part of the Service at any time.

For material changes affecting paid Customers, we will try to provide reasonable notice where practical.

25. Backups and data export

We may maintain backups for operational, security, and disaster recovery purposes.

However, you remain responsible for maintaining appropriate copies, exports, and records of Customer Data needed for your business, legal, tax, accounting, operational, or compliance purposes.

We may provide data export tools, but we do not guarantee that every type of data, configuration, template, log, or historical record will be exportable in every format.

26. Suspension

We may suspend or restrict access to the Service if:

  • you violate these Terms;
  • payment is overdue;
  • we reasonably believe your account creates a security, legal, operational, or reputational risk;
  • your use may harm the Service, other customers, guests, users, or third parties;
  • required by law;
  • your beta access ends;
  • we need to protect the integrity or security of Bookazoid.

Where practical and legally permitted, we will provide notice before or promptly after suspension.

27. Termination

You may stop using Bookazoid at any time.

You may terminate your account or subscription according to your plan, Order Form, or cancellation process.

We may terminate or discontinue access if:

  • you materially breach these Terms;
  • your beta access ends;
  • the Service or relevant feature is discontinued;
  • required by law;
  • continuing to provide the Service creates unacceptable risk;
  • your account remains inactive for an extended period;
  • payment remains overdue after notice.

Upon termination:

  • your right to access the Service ends;
  • you must stop using the Service;
  • outstanding fees remain due;
  • we may delete or retain Customer Data according to our retention practices, Privacy Policy, DPA, and applicable law;
  • sections intended to survive termination will continue to apply.

28. Data deletion after termination

After account termination or expiration, we may delete Customer Data after a reasonable retention period unless legally required or contractually agreed otherwise.

Before termination, you should export any Customer Data you need.

We are not responsible for loss of Customer Data after termination if you fail to export it within the available period.

Backup copies may remain for a limited period according to our backup, security, and legal retention practices.

29. Third-party services

The Service may include links to, integrations with, or dependencies on third-party services.

Third-party services are not controlled by Bookazoid.

We are not responsible for:

  • third-party availability;
  • third-party security;
  • third-party data processing;
  • third-party terms;
  • third-party errors;
  • third-party changes;
  • third-party fees;
  • third-party support.

Your use of third-party services may be governed by separate terms and privacy policies.

30. Publicity

Unless you tell us otherwise in writing, we may identify you as a Bookazoid customer or beta participant using your company name and logo in customer lists, presentations, website materials, and marketing materials.

We will not publish detailed case studies, testimonials, or confidential business information without your permission.

31. Disclaimers

To the maximum extent permitted by law, Bookazoid is provided “as is” and “as available.”

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • accuracy;
  • reliability;
  • availability;
  • uninterrupted operation;
  • error-free operation;
  • compatibility;
  • security;
  • suitability for your business, jurisdiction, property type, tax regime, or operational workflow.

We do not guarantee that:

  • the Service will meet your requirements;
  • the Service will be uninterrupted, secure, or error-free;
  • data will never be lost or corrupted;
  • calculations, invoices, taxes, reports, or workflows will be accurate or legally compliant;
  • integrations or calendar feeds will work without interruption;
  • defects will be corrected;
  • beta features will become generally available.

32. Limitation of liability

To the maximum extent permitted by law, Bookazoid will not be liable for:

  • indirect, incidental, special, consequential, exemplary, or punitive damages;
  • lost profits;
  • lost revenue;
  • lost savings;
  • lost business opportunities;
  • loss of goodwill;
  • business interruption;
  • data loss or corruption;
  • guest claims;
  • overbookings;
  • tax errors;
  • invoice errors;
  • operational mistakes;
  • third-party service failures;
  • costs of substitute services.

To the maximum extent permitted by law, Bookazoid’s total liability for all claims relating to the Service or these Terms will not exceed the greater of:

  • the amount paid by you to Bookazoid for the Service during the 12 months before the event giving rise to the claim; or
  • USD 500.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

33. Indemnification

You agree to defend, indemnify, and hold harmless Bookazoid, its owners, directors, officers, employees, contractors, service providers, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

  • your use of the Service;
  • your Customer Data;
  • your Guest Data;
  • your violation of these Terms;
  • your violation of law;
  • your violation of third-party rights;
  • your tax, invoice, booking, guest, property, or operational decisions;
  • your integrations, exports, webhooks, calendar feeds, or third-party connections;
  • actions by your Users or administrators.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us.

34. Force majeure

We will not be liable for delay or failure to perform caused by events beyond our reasonable control, including:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • labor disputes;
  • government actions;
  • internet or telecommunications failures;
  • hosting or infrastructure failures;
  • third-party service failures;
  • cyberattacks;
  • power outages;
  • epidemics or pandemics;
  • other events outside our reasonable control.

35. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we may notify you by email, in-app notice, website notice, or another reasonable method.

The updated Terms will become effective on the date stated in the updated version.

Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.

36. Governing law

These Terms are governed by the laws of the Repoblic of Belarus, without regard to conflict of law principles.

The courts located in Frunzensky District, Minsk, Belarus will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, unless applicable law requires otherwise.

37. Dispute resolution

Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other party.

If the dispute is not resolved within 30 days after written notice, either party may bring a claim in the courts specified in the “Governing law” section, unless another dispute resolution process is agreed in writing.

38. Notices

We may send notices by:

  • email;
  • in-app message;
  • website notice;
  • account dashboard notice;
  • other reasonable electronic means.

You are responsible for keeping your contact information current.

39. Assignment

You may not assign or transfer these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, corporate restructuring, or by operation of law.

40. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, where permitted by law.

41. No waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

42. Entire agreement

These Terms, together with any applicable Order Form, Privacy Policy, Cookie Policy, Data Processing Addendum, and other documents incorporated by reference, form the entire agreement between you and Bookazoid regarding the Service.

If there is a conflict between these Terms and an Order Form, the Order Form will control only for the specific commercial terms it expressly modifies.
